If your company is expanding internationally, opening a foreign bank account, registering overseas, or working with an international partner, you may be asked to provide an apostilled Certificate of Good Standing.

A California Certificate of Good Standing apostille verifies the authenticity of the document so it can be legally recognized in another country that is part of the Hague Apostille Convention.

What Is a Certificate of Good Standing?

A Certificate of Good Standing is an official business record issued by the California Secretary of State confirming that a corporation, LLC, or other registered entity is properly registered and compliant with state filing requirements.

International banks, foreign governments, overseas investors, legal offices, and international business partners commonly request apostilled Certificates of Good Standing before allowing business registration or financial activity abroad.

A Certificate of Good Standing may also be called a Certificate of Status, Certificate of Existence, or Certificate of Authorization depending on the state and issuing office. For California companies, the document is issued through the California Secretary of State and confirms that the entity is registered and in good standing with the state.

Foreign banks, overseas business partners, investors, government registries, and legal offices may request an apostilled Certificate of Good Standing before approving international banking, foreign registration, subsidiary formation, business licensing, or cross-border transactions.

For California businesses, the correct process usually starts with obtaining the proper certified business record from the issuing authority. Once the certified document is ready, it can be submitted for apostille processing for use in a Hague Apostille Convention country. If the destination country is not part of the Hague Convention, the document may require authentication and embassy or consulate legalization instead.

  3. Submission is made to the California Secretary of State for apostille processing.

  4. If the receiving country does not accept apostilles, the client may need additional steps such as:

    • U.S. Department of State authentication

    • Embassy or consulate legalization
